Constitution & By-Laws Committee - Report to the Lions of Missouri

Following are copies of two Constitutional amendments and one By-Law amendment which the Committee intends to place on the ballot for vote by Missouri Lions at the 1997 State Convention. Amendments 1 and 2 are Constitutional Amendments which the Council asked us to draft at its October 26, 1996 meeting. Amendment 1 concerns redistricting. Amendment 2 establishes the Missouri Lions Foundation. Amendment 3 is a By-Law amendment adopted by the committee. It changes the duties of the District Cabinet Secretary-Treasurer in one respect, that is to allow him or her to mail copies of the Cabinet Meeting minutes to the Cabinet members with the next mailing of the District Newsletter, rather than within five days after the meeting, ai is now required. We felt that it would save the individual districts a fairly large sum of money in postage if the minutes could be mailed to Cabinet members with the Newsletter, rather than in a separate mailing. The requirements that the minutes be mailed to the office of Lions International and to the State Office within five days after each Cabinet Meeting remain unchanged.


Ballot Titles

PROPOSITION NO. 1
Redistricts the State of Missouri by reducing it from 11 districts to 8, effective July 1, 2001. Adopts membership goals of 2% net increase for the 1997-1998 year, 3% for 1998-1999, and 3% for 1999-2000. If 6 of the 11 present districts reach these goals, the redistricting plan will be re-evaluated. If 6 of the present 11 districts do not reach these goals,the redistricting plan will be effective July l, 2001. If it is found that these goals will not be reached, the 1998-1999 Council of Governors has the option to declare the redistricting plan effective July 1, 2000.

PROPOSITION NO. 2
Establishes a Missouri Lions Foundation to receive tax-deductible donations for the benefit of Missouri Lions charities.

PROPOSITION NO. 3
Provides that the Cabinet Secretary-Treasurers may mail copies of the minutes of Cabinet meetings to Cabinet members with the next mailing of the District Newsletter, instead of within 5 days after the meeting.


Amendment Language


AMENDMENT NO. 1
Shall Article IV, Section 2, of the Constitution of Multiple District 26 be amended to read as follows?

Section 2. This Multiple District No. 26 shall consist of Eight (8) Districts, with the boundary lines as follows

: (a) District 1 shall be comprised of the counties of Atchison, Nodaway, Worth, Harrison, Mercer, Putnam, Holt,Andrew, Caldwell, Sullivan, Gentry, DeKalb, Daviess, Grundy,Buchanan, Clinton, Livingston, Linn, and Chariton.

(b) District 2 shall be comprised of the counties of Platte, Clay, Jackson, Cass, Ray, Carroll, Johnson, Lafayette, Saline, and Pettis.

(c) District 3 shall be comprised of the counties of Bates, Vernon, Barton, Jasper, Newton, McDonald, Lawrence, Stone, Henry, St. Clair, Benton, Hickory, Cedar, Dade, Polk, Dallas, and Barry.

(d) District 4 shall be comprised of the counties of Schuyler, Clark, Adair, Lewis, Macon, Shelby, Marion, Randolph, Monroe, Ralls, Howard, Scotland, Knox, Boone, Audrain, Pike, Montgomery, Lincoln, Warren, and St. Charles.

(e) District 5 shall be comprised of the City of St. Louis and the counties of St. Louis and Franklin.

(f) District 6 shall be comprised of the counties of Cooper, Moniteau, Morgan, Callaway, Cole, Miller, Osage, Maries, and Gasconade.

(g) District 7 shall be comprised of the counties of Camden, Pulaski, Phelps, Laclede, Greene, Webster, Wright, Texas, Dent, Christian, Douglas, Shannon, Taney, Ozark, Howell, and Oregon.

(h) District 8 shall be comprised of the counties of Jefferson, Crawford, Washington, St. Francois, Ste. Genevieve, Perry, Iron, Reynolds, Madison, Dunklin, Cape Girardeau, Carter, Wayne, Bollinger, Ripley, Butler, Stoddard, Scott, Mississippi, New Madrid, and Pemiscot.

This amendment shall be effective July 1, 2001.; PROVIDED, HOWEVER:
1) The Multiple District hereby accepts the membership goals for all districts of 2% net increase for 1997-1998; 3% net increase for 1998-1999; and 3% net increase for 1999-2000. 2) if six (6) out of the eleven present districts do not achieve the above goals listed in #1, the redistricting plan as above set forth will be effective July 1, 2001. 3) If six (6) of the eleven present districts achieve the goals listed in # 1, the redistricting plan will be re-evaluated by the Long-Range Planning Committee and a new plan developed. (4) The plan will be monitored by the Long-Range Planning Committee annually with the current membership being posted at each annual Multiple District Convention. If it is determined by the Council of Governors and the Long-Range Planning Committee that the membership continues to decline and that the membership goals as above stated are not going to be achieved, the Long-Range Planning Committee may recommend to the 1998-1999 Council of Governors that the redistricting plan as above set forth go into effect and said plan shall be effective July 1, 2000.


AMENDMENT NO. 2
Shall a new Article be added to the Multiple District 26 Constitution, to be known as Article VIII, and the present Articles VIII through XVIII, inclusive, be renumbered accordingly? The said new Article VIII to read as follows:

ARTICLE VIII - Missouri Lions Foundation.

Section 1. The Missouri Lions Foundation is an activity of Multiple District 26 Lions. It is a not-for-profit Missouri corporation governed by its own By-Laws, which are subject to the approval of the Lions of Multiple District 26. Missouri Lions Foundation shall receive contributions for scientific, educational, and charitable activities carried on by Missouri Lions, which contributions shall be tax deductible under Section 501(c)(3) of the United States Internal Revenue Code.

Section 2. Each of the districts from time to time comprising Multiple District 26 shall elect a director to the Board of Directors of the Missouri Lions Foundation. The Directors shall be elected to three (3) year terms, PROVIDED, HOWEVER, that each District Governor shall appoint one Lion from his or her district to serve on the initial Board of Directors, The terms of the initial Directors from Districts D, H, and I shall expire June 30, 1999, the terms of the Directors from Districts Al, B, G, and J shall expire June 30, 2000, and the terms of the Directors from Districts A2, C, E, and F shall expire June 30, 2001.

Section 3. Any Active Member in good standing of a Lions Club in good standing within the District may seek the office of District Missouri Lions Foundation Director by making known his or her intention to so run in accordance with the procedures provided by the Constitutions and By-Laws of the respective Districts for the nomination and election of other District officers.

Section 4. The Director of each District shall be elected at the annual Multiple District 26 Convention, unless previously elected in a District Convention. The election shall be by secret written ballot, unless there shall be only one candidate, in which event a voice vote may be taken. The candidate receiving the largest number of votes shall be declared elected. In case of a tie, balloting shall continue until a Director is elected.


AMENDMENT NO. 3
Shall Article II, Section 3 of the By-Laws of Multiple District 26 be amended to read as follows:

Section 3. Cabinet Secretary-Treasurer. Under the supervision and direction of the District Governor and his Cabinet, the Cabinet Secretary-Treasurer shall keep an accurate record of the proceedings of all meetings of the Cabinet, and shall within five (5) days after each meeting forward copies of the minutes of same to the State Council Secretary for incorporation into the State record and to the office of Lions Clubs International and shall forward a copy of said minutes with the next mailing of the district newsletter to all members of the Cabinet. He shall also keep an accurate record of the proceedings of the District meeting held during the State Convention. He shall assist the District Governor and the Cabinet in conducting the business of the District, and shall perform such duties as are specified or implied in the Constitution and By-Laws of the organization, or as may be assigned to him from time to time by the Cabinet. He shall sign all notices and documents issued by the District, keep the accounts, receive all monies paid to the District, and shall make an annual report to the Cabinet at the meeting of the Cabinet immediately preceding the State Convention, and at such other times as said Cabinet may require. He shall deposit all monies received by him in such bank or banks, as may be designated by the Cabinet and shall disburse the same by order of said Cabinet. He shall turn over to the State Council Secretary-Treasurer the proper percentage of per capita tax collected in the District, keeping same until such time as he turns it over after securing the proper receipt. His accounts, books, and records shall at all times be open to the inspection of the Cabinet, the District Governor, and any auditors named by the Cabinet. He shall give bond for the faithful performance of his duties in such sum and with such sureties as may be required by the District Governor's Cabinet.
